1.1 If Verafy™ is part of the Software licensed by Customer, Customer agrees to pay Verasoft One Thousand Dollars ($1,000.00) in nonrecurring charges per License Location ("Verafy License Fee"). The Verafy License Fee will be waived provided Customer processes all credit card payments through Verasoft Merchant Services™ or its affiliated entities (collectively, "VMS"). If, at any point during the term of Customer’s license, Customer ceases to process all or part of its credit card payments through VMS for any reason, Customer shall be responsible for paying Verasoft the Verafy™ License Fee in full. The Verafy™ License Fee will not be reduced or prorated. Payment will be due within thirty (30) days of the date Customers ceases to process all or part of its credit card payments through VMS.
1.2 It is Customer’s responsibility to apply for credit card processing through VMS and to meet the obligations and requirements of the VMS processing agreement. Verasoft shall not have any responsibility to assist Customer in such application process nor any liability if Customer is denied processing services. Customer shall further ensure that it remains PCI compliant and that it is utilizing the encryption options in KORVUE to secure data in accordance to the most current requirements by the PCI Security Standards Council (pcisecuritystandards.org).
1.3 Customer acknowledges that VMS is a company independent of Veraosft and that Verasoft is not responsible for the negligent or intentional acts of VMS. IN NO EVENT SHALL VERASOFT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR LOST DATA) ARISING OUT OF OR IN ANY MANNER RELATED TO THE SERVICES PROVIDED BY VMS.
1.4 All terms not otherwise defined herein shall have the meaning provided for in the KORVUE® License Terms and Conditions.
